1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you and Mainte Pty Ltd (ACN 694 142 731, ABN 21 694 142 731) ("Mainte", "we", "us", "our") governing your access to and use of the Mainte platform and related services ("Services"): maintenance and operations software for industrial plant and mobile equipment, including Mainte Edge where it is deployed.
By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, you may not access or use the Services.
2. Description of Services
Mainte provides maintenance and operations software for industrial plant and mobile equipment. Depending on the modules a deployment holds, the Services include:
- Asset records and history, work orders, requests, inspections and pre-starts, and preventive maintenance by date or meter
- Reading of the documents you upload, with procedures, parts, warnings and compliance dates filed against your machines and cited to their source
- Safety records: HSEQ events, stand-downs, risk assessments, certificates and evidence links
- People and competency records, including assessments, credentials and familiarisation material
- Costs, procurement, labour and bank reconciliation, with export to your accounting software
- Live plant condition read from your instruments through Mainte Edge, where deployed
- An assistant that answers from your records and documents and acts only within the permissions of the person using it
- Mobile applications, QR labels, kiosk surfaces, reporting and an audit history of every action
3. Account Registration
To access certain features, you must create an account. You agree to:
- Provide accurate, current, and complete information
- Maintain the security of your account credentials
- Accept responsibility for all activities under your account
- Notify us immediately of any unauthorised access
4. Acceptable Use
You agree not to:
- Violate any applicable laws or regulations
- Infringe upon intellectual property rights of others
- Transmit malware, viruses, or harmful code
- Attempt to gain unauthorised access to our systems
- Use the Services for any unlawful or fraudulent purpose
- Reverse engineer, decompile, or disassemble the Services
- Resell or sublicense the Services without written consent
5. Intellectual Property
The Services, including all software, content, trademarks, and other materials, are owned by Mainte and protected by Australian and international intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to use the Services for your internal business purposes.
You retain ownership of all data you input into the Services ("Your Data"). You grant us a licence to use Your Data solely to provide and improve the Services.
6. Payment Terms
If you subscribe to paid Services, you agree to pay all applicable fees as described in your subscription agreement. Fees are non-refundable unless otherwise specified. We reserve the right to modify pricing with reasonable notice.
7. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.
The assistant, document reading, condition monitoring and other automated features assist people. They do not replace professional engineering judgement, safety assessments, competency authorisation or compliance determinations. Users remain responsible for all maintenance and operational decisions and actions.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY AUSTRALIAN LAW, MAINTE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICES.
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
9. Indemnification
You agree to indemnify and hold harmless Mainte, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Services, violation of these Terms, or infringement of any rights of another party.
10. Term and Termination
These Terms remain in effect until terminated. We may suspend or terminate your access to the Services at any time for violation of these Terms or for any other reason with notice. Upon termination, you must cease using the Services and may request export of Your Data within 30 days.
11. Governing Law
These Terms are governed by the laws of Australia. Any disputes arising from these Terms shall be resolved in the courts of Australia, and you consent to the exclusive jurisdiction of those courts.
12. Changes to Terms
We may modify these Terms at any time. Material changes will be communicated via email or through the Services. Continued use of the Services after changes constitutes acceptance of the modified Terms.

14. The Assistant, Document Reading and Automated Features
The assistant answers from your records and the documents you have uploaded, and cites its sources. Document reading proposes procedures, parts, schedules and checklists for a person to review before they apply. Live plant condition, where Mainte Edge is deployed, is read from your instruments against limits your own engineers set; Mainte Edge reads from plant systems and does not write to them.
None of these features is a substitute for professional engineering judgement, safety assessments, competency authorisation or regulatory determinations. Outputs should be reviewed by qualified personnel before they are acted on. Mainte does not warrant the accuracy or completeness of automated outputs for safety-critical decisions, and you retain full responsibility for all maintenance and operational decisions and actions.
15. Service Availability
We aim to maintain high availability of the Services but do not guarantee uninterrupted access. Scheduled maintenance will be communicated in advance where practicable. For enterprise customers, specific service level commitments may be documented separately in a Service Level Agreement.
We implement redundancy and backup procedures to minimise service disruptions and maintain business continuity.
16. Data Export and Portability
Upon request or termination of your account, you may export your data in standard formats. We will assist with reasonable data migration requests for a period of 30 days following account termination. Export formats include CSV, JSON, and other industry-standard formats as applicable to your data types.
Enterprise customers may request custom export arrangements as part of their service agreement.
